RICHARD M. STEINBERG is founder and CEO of Steinberg Governance Advisors, Inc. The elements of strong corporate governance are lucidly explained by author Rick Steinberg with the right balance between conceptual and practical. Too often books in this field are so conceptual as to be close to useless, or so academic as to bear little relation to the complexities of a fast moving real-life corporation. It also indicates an understanding of the costs and effort to get it right, the tradeoffs that must be made, and the scarcity of executive and Board time and comprehension, of complex fast-moving corporate entities. The inclusion of analysis of some of the current controverisies over Board practices--BP and HP for example--render it more alive and timely than many more stultifying entries. As a Chairman or CEO for over 25 years, I can appreciate the scope and practicality of this guide.

Makes it easy to understand a complex issue

While it's never too late for a current CEO or board member to learn what their responsibilities are to their stockholders, I'd strongly recommend that every undergraduate and graduate business school include this book as required reading. It is written in language that everyone can understand. It includes many current examples of the right and wrong ways companies have approached this subject in a readable fashion that is not boring. Mr STEINBERG has done a masterful job making a subject that appears to most as a unnecessary evil that one has to find a way to deal with into an opportunity for success .

A "Must Read" for Risk and Compliance Executives

Rick Steinberg does a wonderful job describing the strategic underpinnings to a risk management program. Rick's vast knowledge of the subject and deep domain expertise are brought together to provide a framework for risk management to drive corporate success. He shows that risk management is much more than a 'check box' task for executives--it can be a source of tremendous shareholder value.
